2. Account Security:
   Freelancers are responsible for maintaining the confidentiality of their login credentials and all activity under their account. Notify us immediately of any unauthorized use.
3. Compliance:
   By registering, freelancers agree to adhere to all applicable laws, including but not limited to tax regulations and employment laws.

10.4 Project Terms

1. Project Agreement:
   Freelancers must agree on deliverables, timelines, and payment terms with the client before starting a project.
2. Professional Standards:
   Services must be delivered in a professional manner, adhering to the agreed-upon quality standards.
3. Timely Communication:
   Freelancers are required to promptly communicate any delays, challenges, or changes to the agreed terms to the client and us.

10.5 Payment Terms

1. Payment Processing:
   • Payments for completed projects will be processed through our platform only after client approval.
   • Payment timelines will be as outlined in the project agreement, typically within 7–10 business days post-approval.
2. Dispute Resolution:
   • In the event of a payment dispute, freelancers and clients must provide evidence of the agreement and delivered work.
   • We reserve the right to mediate, but final responsibility for payment disputes lies with the freelancer and client.
3. Fees and Deductions:
   A nominal service fee may be deducted from payments to freelancers for platform maintenance and operational costs.

10.6 Intellectual Property Rights

1. Ownership Before Payment:
   All work produced remains the property of the freelancer until full payment is received.
2. Ownership Transfer:
   Upon receipt of payment, all intellectual property rights, including copyrights, are transferred to the client. Freelancers must not reuse or redistribute the work without the client’s written consent.
3. Protection Against Misuse:
   We reserve the right to intervene in cases where intellectual property misuse is reported by either the client or freelancer.

10.7 Indemnification

1. Freelancer Responsibility:
   Freelancers agree to indemnify, defend, and hold harmless Adwithiya Engineering and Consultants LLP, its affiliates, and its representatives from any claims, damages, or liabilities arising from:
   • Negligence or misconduct.
   • Breach of these terms or project agreements.
   • Violations of third-party intellectual property rights.
2. Liability Limits:
   • We are not responsible for freelancer-client disputes beyond facilitating communication and payment.
   • Our maximum liability is limited to platform service fees paid by the freelancer.

10.8 Termination of Agreement

1. Voluntary Termination:
   Freelancers may deactivate their account at any time, provided there are no active or pending projects.
2. Termination by Us:
   We reserve the right to terminate accounts for non-compliance with these terms, fraudulent activity, or unethical behavior.
3. Post-Termination Obligations:
   All ongoing project obligations and intellectual property agreements must be honored even after termination.

10.9 Confidentiality

Freelancers must treat all client information, project details, and platform communications as confidential. Any breach of confidentiality will result in immediate account termination and potential legal action.

11. Affiliate Program Terms and Conditions

11.1 Overview

These Affiliate Program Terms and Conditions (“Agreement”) govern the participation of affiliates in the affiliate marketing program (“Affiliate Program”) operated by Adwithiya Engineering and Consultants LLP (“Company,” “we,” “our,” “us”). By registering as an affiliate, you agree to abide by these terms and conditions.

11.2 Eligibility

1. Age Requirement: You must be at least 18 years old to participate in our affiliate program.
2. Payment Method: You must have a valid payment method (bank account, PayPal, etc.) to receive commissions. Failure to provide accurate payment details will result in delayed payments or non-payment.
3. Geographical Restrictions: Affiliates must ensure that they are compliant with local laws and regulations regarding affiliate marketing in their jurisdiction. It is your responsibility to ensure eligibility under applicable laws.

11.3 Commission Structure

1. Commission Percentage: Affiliates will earn a 5% commission on the total value of referred projects, excluding taxes, discounts, and any other additional charges.
2. Commission Cap: The commission is capped at ₹1,00,000 per referred project.
3. Project Value: Commissions will be based on the final contract price of the referred project and will only be calculated after the project’s payment has been successfully received by the Company.
4. Commission Payment Exceptions: No commissions will be earned on any projects that are canceled, refunded, or deemed invalid for any reason.

11.4 Tracking Referrals

1. Affiliate Links: Upon successful registration, affiliates will receive a unique affiliate link. It is your responsibility to use the provided link when referring potential clients. Failure to properly use the affiliate link may result in the referral being untracked, and commissions will not be earned.
2. Referral Tracking Limitations: We are not liable for any tracking failures due to incorrect use of the affiliate link, technical issues, or errors beyond our control.
3. Referral Period: Referrals will remain valid for 30 days from the first visit through the affiliate link. If the referred client does not convert within this time frame, the referral will no longer be valid.

11.5 Payment Terms

1. Payment Timeline: Commissions will be paid within 30 days of the client’s full payment for the referred project. Payments will be processed via the method you provided during registration.
2. Minimum Payment Threshold: Affiliates must reach a minimum of ₹1,000 in earned commissions before receiving payment. If this threshold is not met, the balance will carry over to the next payment cycle.
3. Payment Details: You are responsible for providing accurate payment details. We will not be responsible for any delays or failed transactions due to incorrect or incomplete payment details.

11.6 Termination

1. Company’s Right to Terminate: We reserve the right to terminate any affiliate’s participation in the program at any time for:
   • Violating any term of this agreement.
   • Engaging in fraudulent, deceptive, or unethical behavior.
   • Generating invalid or suspicious referrals.
   • Spamming or using other unethical marketing practices.
2. Affiliate’s Right to Terminate: You may terminate your participation in the affiliate program at any time by notifying us in writing via email or through our platform. However, commissions for any active projects will still be honored as per the terms.
3. Post-Termination Obligations: In the event of termination, affiliates must cease all promotional activities related to the Company and immediately remove any reference to Adwithiya Engineering and Consultants from websites, social media, or any other platforms.

11.7 Modifications

1. Right to Modify: Adwithiya Engineering and Consultants reserves the right to modify the Affiliate Program and these Terms and Conditions at any time. Changes may include, but are not limited to, commission rates, payment methods, referral tracking, and eligibility requirements.
2. Notification of Changes: We will notify affiliates of any significant changes to the program via email or on the platform. Continued participation after changes have been made constitutes acceptance of the modified terms.
3. No Liability for Modifications: The Company will not be liable for any impact caused by modifications to the affiliate program or these terms, including but not limited to a decrease in commission rates or changes in payment terms.

11.8 Confidentiality

Affiliates agree to maintain the confidentiality of all proprietary information provided by the Company, including but not limited to client information, pricing, and business strategies. Any breach of confidentiality may result in immediate termination from the affiliate program and legal action.

11.9 Dispute Resolution

1. Disputes: Any disputes regarding the Affiliate Program, commission payments, or any other aspect of the agreement shall be resolved in good faith through negotiation. If a resolution cannot be reached, the matter will be submitted to binding arbitration in accordance with applicable laws.
2. Governing Law: This Agreement will be governed by and construed in accordance with the laws of India.

11.10 Limitation of Liability

The Company shall not be held liable for any indirect, incidental, or consequential damages arising from the affiliate program or your participation in it. Our liability is limited to the commissions earned by the affiliate under this agreement.

These Terms and Conditions are governed by the laws of Shivamogga. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts located in Shivamogga, Karnataka, India.
